Tradie Agreement
The agreement between Sydney Home Repairs and Renovations and every tradesperson in our network. You accept it when you apply.
Draft agreement: to be replaced with lawyer-reviewed wording before tradies start work.
1. Who we are to each other
You are an independent contractor engaged by Goat Projectz Pty Ltd trading as Sydney Home Repairs and Renovations ("we", "us") to carry out work on jobs we offer you. You are not our employee, agent or partner. You choose whether to accept each job and you supply your own tools, vehicle and labour.
2. Licences and insurance
You must hold, and keep current for every job, all licences your work requires (including your NSW contractor or qualified supervisor licence, and a security licence for locksmithing), a current driver's licence, and: public liability insurance of at least $10 million per claim (or the higher amount we tell you a job requires); workers compensation insurance for any workers, or personal accident and illness cover for yourself; and any other insurance required by law for your trade. You must upload each licence and policy to your portal with its expiry date, and give us a certificate of currency when we ask. If any of them lapses, you must stop taking jobs until it is renewed.
3. Responsibility for your work
You are responsible for the work you and anyone working for you carry out, including its quality, its compliance with the law, the National Construction Code, Australian Standards and manufacturer instructions, and for safety on site while you are there. You must carry out the work in a proper and workmanlike manner, using suitable materials, so that it meets the statutory warranties under the Home Building Act 1989 (NSW).
4. Indemnity and insurance claims
You indemnify us against any loss, damage, cost (including reasonable legal costs), claim or liability we suffer or incur because of your work, your breach of this agreement, or any negligent or unlawful act or omission by you or anyone working for you, including damage to the customer's property and injury to any person, except to the extent we caused it. Where a loss or claim is covered by your insurance, you must notify your insurer promptly, make the claim and pay any excess, and you must not do anything that would prejudice the cover.
5. Project management and standards
We project manage every job. You agree to follow our reasonable directions on scope, standards, timing, site conduct and communication; to let us inspect the work at any stage; to upload progress and completion photos through the portal; and to correct anything we find that does not meet the scope or the standards in clause 3.
6. Defects at your cost
If the customer reports a problem, or we find one, that is caused by your work (a defect), we will send you a defect notice through the portal (and by email) describing the defect, with photos where we have them, and the date by which it must be fixed. That date will be at least 5 business days after the notice unless the defect is urgent or unsafe, in which case we may set an earlier date. You must inspect the defect and fix it at your own cost, including your labour and materials, by that date, at a time arranged with the customer through us, and then mark it fixed in the portal with photos of the completed fix. A defect is only closed once we have checked and accepted the fix. This applies during the job and for the period of the statutory warranties after completion.
7. If you don't fix it: we fix it and deduct the cost
If you do not fix a defect by the date in our defect notice under clause 6 (or any later date we agree in writing), refuse to, or the defect is not fixed properly, we may have it fixed by someone else. The reasonable cost of the inspection and rectification is a debt you owe us. We may deduct it from any amount we owe you on this or any other job (set-off), and invoice you for any balance, payable within 14 days. We will give you the details, photos and the cost before deducting. We may also hold your invoice while a customer complaint about your work is being investigated.
8. Disputes about fault
If you disagree that a defect was caused by your work, tell us in writing within 2 business days of our notice, with your reasons and any photos. We will consider them, and may arrange an independent inspection; if it finds the defect was not caused by your work, we will pay for that inspection and return any amount deducted. Otherwise the inspection cost is included in the rectification cost. Unresolved disputes may be referred to NSW Fair Trading or mediation before any court action.
9. Getting paid
On jobs whose payment schedule includes a halfway (progress) payment, we pay 50% of your agreed price once the customer's halfway payment is received. On all other jobs you are paid in full on your final invoice. Your final invoice (the balance, or the full amount where no 50% was paid) is paid once 7 working days have passed since completion and the customer has paid in full (whichever is later), less any amounts deducted under clause 7. Invoices are submitted through the portal. If you are registered for GST, your invoices must be tax invoices.
10. Variations
Extra or changed work must be raised as a variation in the portal and signed by the customer before you start it. Variations not signed before the work is done are not paid.
11. Stopping work
If we pause a job (for example for non-payment by the customer), you must stop work when we tell you and restart only when we confirm. Delay caused by a pause is not a defect.
12. Customers are our customers
You must contact customers only through our system (in-app chat and masked calls), not give them your phone number, email or business details, not quote or invoice them directly, and not accept work from them outside this platform for 12 months after the job, unless we agree in writing.
13. Confidentiality and privacy
You must keep customer details and job information confidential, use them only to carry out the job, and comply with the Privacy Act 1988 (Cth).
14. Ending this agreement
Either of us may end this agreement by notice through the portal. We may suspend or end it immediately if your licence or insurance lapses, for serious or repeated defects, unsafe conduct, or a breach of clause 12. Clauses 3, 4, 6, 7, 8, 12 and 13 continue after it ends, and for work already done.
15. Changes
We may update this agreement by giving you the new version in your portal. You will be asked to accept it before taking new jobs. Jobs already accepted continue under the version that applied when you accepted them.
